These Terms & Conditions ("Terms") govern your access to and use of the website https://procurengine.ai (the "Website"), operated by AgileApt Solutions Private Limited ("AgileApt", "we", "us", "our"), a company having its registered office at B-821, Advant Navis Business Park, Noida - 201305, Uttar Pradesh, India. By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, please do not use the Website.
These Terms apply to the marketing Website only. Use of our procurement SaaS product ("Product") by customers is governed by a separate master subscription/services agreement executed with each customer, which may be entered into with AgileApt Solutions Private Limited or with our US subsidiary, AgileApt Solutions Inc. (8 The Green, STE A, Dover, DE 19901, United States), depending on the customer's location - the contracting entity will be identified in the applicable order form or subscription agreement.
1. Use of the Website
You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to:

- Attempt to gain unauthorised access to the Website, its servers, or any connected systems
- Introduce viruses, malware, or other harmful code

2. Accuracy of Submitted Information
When you submit information through our lead-generation forms (Full Name, Work Email, Company, Job Title, Phone, Country, Message), you represent that the information is accurate and that you have the authority to provide it, including on behalf of your organization where applicable.

All content on the Website - including text, graphics, logos, product names, screenshots, and software - is owned by or licensed to AgileApt Solutions Private Limited and is protected by applicable intellectual property laws. 8. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (as amended) and the Rules of the Delhi International Arbitration Centre (DIAC), as in force at the time of commencement of the arbitration. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the parties or, failing such agreement, in accordance with the DIAC Rules. The seat and venue of arbitration shall be New Delhi, India, and the language of arbitration shall be English. The arbitral award shall be final and binding on the parties. Nothing in this clause shall prevent either party from seeking interim or injunctive relief from a court of competent jurisdiction at New Delhi, India, which shall have exclusive jurisdiction over such interim matters.
9. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
10. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and any other policies referenced herein, constitute the entire agreement between you and AgileApt Solutions Private Limited regarding use of the Website.
11. Changes to These Terms
We may update these Terms from time to time. Continued use of the Website after changes are posted constitutes acceptance of the revised Terms.
